These Terms and Conditions (hereinafter, the “Terms”) govern participation in the Creator and Ambassador Program (hereinafter, the “Program”) operated by LOOKIERO TECH, S.L. (hereinafter, “Lookiero”, “Outfittery”, or the “Group”), with Tax Identification Number (NIF) B-95953907 and registered office at Gran Vía Don Diego López de Haro 1-6º (BAT), 48001 Bilbao, Spain.
1. Purpose and Operation of the Program
The Program allows content creators and micro-influencers to promote the online personal shopper services of Lookiero and Outfittery. Following registration and acceptance of these conditions, the Creator will receive a unique and non-transferable link or code to share across their digital channels and social networks.
The collaboration is based exclusively on an exchange of in-kind and product incentives, without any monetary financial remuneration or employment, commercial, or agency relationship between the Creator and the Group.
2. Rewards and Credit System
For each conversion or verified new customer acquired through the Creator’s unique link, the Creator will accumulate credit/points in their user account for the redemption of future Lookiero/Outfittery boxes or garments.
The Group reserves the right to establish expiration limits (minimum 12 months from generation) and operational conditions regarding said credit.
Generated credits are strictly personal, non-transferable, and under no circumstances may be redeemed for cash or transferred to bank accounts.
3. Assignment of Intellectual Property and Image Rights for Commercial Use and Paid Media
By publishing content (photographs, videos, reels, stories, etc.) utilizing products, boxes, links, or mentions of Lookiero or Outfittery within the framework of the Program:
License of use: The Creator grants LOOKIERO TECH, S.L. a non-exclusive, worldwide, royalty-free, and transferable license over the intellectual property rights, copyrights, and image rights derived from the created content.
Scope and Channels: The Group may reproduce, distribute, publicly communicate, and transform said content across all its owned or organic digital channels (website, blog, newsletters, social media profiles), as well as in paid advertising campaigns (Paid Media / Paid Ads on Meta, TikTok, Google, and similar platforms).
Duration: This assignment shall have a duration of one (1) year starting from the first publication date of the content by the Creator or its use by the brand.
Delivery of material: Upon request by the Group, the Creator shall provide the original high-definition, unfiltered files.
4. Transparency and Digital Advertising Regulations
In compliance with European Union directives and consumer regulations regarding digital advertising and influencers, the Creator contractually undertakes to clearly, visibly, and unequivocally indicate the advertising and collaborative nature of the published content (visibly using hashtags such as #Ad, #Advertising, #LookieroCreator, or #OutfitteryCreator).
5. Responsible Independence and Legal Compliance
The Creator acts with total organizational independence and using their own means. The Creator guarantees that they hold all rights to the uploaded content, holding the Group harmless against any third-party claims. Likewise, it is the sole responsibility of the Creator to comply with their tax or administrative obligations arising from the receipt of products or credits in their country of residence.
6. Duration and Cancellation of the Program
Either party may terminate participation in the Program at any time. The Group reserves the right to immediately cancel the Creator’s account and revoke unconsumed credits in the event of detecting fraudulent use of the link, poor advertising practices, or behavior that damages the reputation of the Lookiero or Outfittery brands.
7. Applicable Law and Jurisdiction
These Terms are governed by Spanish legislation. For the resolution of any dispute arising from the interpretation or fulfillment of these conditions, the parties expressly submit to the jurisdiction of the Courts and Tribunals of the city of Bilbao (Spain).
